Between 1995 and 2005, Mr. Miller practiced corporate law at Paul, Hastings, Janofsky & Walker LLP, advising privately held, emerging growth and publicly traded companies in a variety of transactions, including mergers and acquisitions, private placements, public offerings, securities regulation and other corporate finance, formation and regulatory issues. After leaving Paul Hastings and before joining Meridian Youth Treatment Center - Malibu, Mr. Miller was the general counsel and chief compliance officer at Imperial Capital, LLC, a full-service investment banking firm and broker-dealer offering a wide range of services to institutional investors and middle market companies, with special expertise in high-yield, distressed and illiquid debt and equity securities, bank debt and trade claims. Mr. Miller was responsible for advising the investment bank and broker-dealer on a wide range of legal issues and strategic decisions. He managed the firm’s compliance department and established, maintained and enforced the supervisory system and supervisory control policies and procedures for all areas of the investment bank and broker-dealer as well as its affiliate investment advisors and firm sponsored hedge funds. Prior to his legal career, Mr. Miller had been a budget and financial analyst and an assistant controller. Mr. Miller is a managing director of Arca Capital Partners LLC, a capital and advisory firm specializing in the areas of legal finance and risk management.
Mr. Miller received his Bachelor of Science degree in Finance and Business Economics from the University of Southern California and his Juris Doctor degree from the University of Virginia.
